REFERRAL:

With the proposed contract with VMS, how much notice must be given to terminate the contract?

Are there any penalties if the city cancels the contract?

 

RESPONSE:

Below is verbiage copied from the City of Toledo/VMS Contract for Impound Services:

“City may, in its sole discretion, suspend and/or terminate this Agreement for convenience upon giving sixty (60) calendar days’ prior written notice to Contractor. In the event of such termination, Contractor shall be entitled to receive just and equitable compensation, as determined by City, for any satisfactory authorized work performed in accordance with the Agreement up to the termination date but in no event shall City be liable to Contractor for expenses incurred after the termination date.”

There are no penalties if the contract is canceled.  The contract states:

“Contractor shall be entitled to receive just and equitable compensation, as determined by City, for any satisfactory authorized work performed in accordance with the Agreement up to the termination date but in no event shall City be liable to Contractor for expenses incurred after the termination date.”
