Title
Authorizing Master Software License and Professional Services Agreement with exhibits ("Agreement"), by and between Integrated Software Specialists, Inc. ("ISS") and the City of Toledo through the Toledo Municipal Court (collectively "City") to access, use, enjoy, and benefit from ISS case management software in addition to their license(s) maintenance and support; authorizing an expenditure of Sixty Five Thousand and 00/100 Dollars ($65,000.00) for year one of Agreement; authorizing future expenditures in years two (2) through five (5) subject to future appropriations; waiving the competitive bidding and advertising provisions of TMC 187.19; and declaring an emergency.

SUMMARY & BACKGROUND:
This Ordinance authorizes Agreement between City and ISS, for access, use, enjoy, and benefit from ISS case management software in addition to their license(s) maintenance and support. The Agreement is for five (5) years at a cost not to exceed Three Hundred Thirty Eight Thousand Three Hundred 00/100 Dollars ($338,300.00).
Summary
NOW, THEREFORE, Be it ordained by the Council of the City of Toledo:
SECTION 1. The Mayor, the Municipal Court Judges, and the Municipal Court Administrator are authorized to enter into an Master Software License and Professional Services Agreement with exhibits and schedules that provides a case management software license, maintenance and support as well as professional services to Toledo Municipal Court for up to a five (5) year period, upon terms acceptable to the Director of Law.
SECTION 2. The competitive procurement requirements under Toledo Municipal Code Chapter 187 are waived as it is found and determined that it is in the best interest of the City that contracting with ISS is the most cost effective and secure manner to obtain the needed maintenance, support and service for the probation's case managem...
