SUMMARY & BACKGROUND:

The City of Toledo is partnering with the Metropolitan Park District of the Toledo Area (Metroparks) and Owens Corning to develop the Glass City Riverwalk, a signature public riverfront project located on the Owens Corning Headquarters campus.

The property required for the project is owned by the City of Toledo and leased to Owens Corning. In order to facilitate the construction, ownership, and long-term maintenance of the Glass City Riverwalk by Metroparks, the City-working in coordination with Owens Corning-must convey certain real property interests to the Metropolitan Park District of the Toledo Area.

This ordinance authorizes the Mayor to execute the necessary agreements and related documents to enable the development of the Glass City Riverwalk Project and approves the conveyance of the required property interests to Metroparks. Given the unique public purpose of the project and the Metroparks’ role in developing and maintaining the Riverwalk for public benefit, the ordinance also waives the competitive bidding requirements of Toledo Municipal Code Chapter 187 with respect to the conveyance.

Summary

NOW THEREFORE Be it ordained by the Council of the City of Toledo:

 

                     SECTION 1. That the Mayor and other appropriate City officials are authorized to enter into and execute agreements with the Metropolitan Park District of the Toledo Area and Owens Corning, and to execute such other agreements, instruments, and documents, and to take such other actions as may be necessary and appropriate to implement the Glass City Riverwalk Project, with respect to the Owens Corning world headquarters lease and upon such terms and conditions as the Mayor and the Director of Law determine to be in the best interests of the City of Toledo.

 

                     SECTION 2.                      That Council finds and determines that the real property interests and/or right-of-way to be conveyed pursuant to the agreement are not needed for a municipal purpose and that the disposition of such interests to the Metropolitan Park District of the Toledo Area is in the best interests of the City. Council further finds that the public benefits associated with the Metropolitan Park District’s ownership, development, operation, and maintenance of the Glass City Riverwalk justify the conveyance of such property interests without competitive bidding. Accordingly, Council approves the conveyance as an exception to the notice, publication, and competitive bidding provisions of Section 187.19 of the Toledo Municipal Code, and such provisions are waived.

 

SECTION 3.  That it is found and determined that all formal actions of this Council concerning and relating to the adoption of this ordinance were taken in an open meeting of this Council and that all deliberations of this Council and any of its committees or subcommittees that resulted in such formal actions were conducted in compliance with applicable law. 

SECTION 4. That this Ordinance is declared to be an emergency measure and shall take effect immediately upon its passage. The reason for the emergency is that the ordinance is necessary for the immediate preservation of the public peace, health, safety, and property, and to ensure the timely advancement of the Glass City Riverwalk Project for the benefit of the public and the City of Toledo.
