Title
Authorizing the mayor to enter into new or amended contracts for implementation services, hosting, and systems administration services for the DPU SAP systems, OnBase system, and DPU FTP and SMTP environments for three years with option for two one-year renewals; authorizing the expenditure not to exceed $190,000 for the first year from the Utilities Administrative Services Fund; authorizing expenditures not to exceed $80,000 annually in future years from the Utility Administrative Services Fund over the term of the agreements; waiving the competitive bidding requirements of Toledo Municipal Code Chapter 187; and declaring an emergency.

SUMMARY & BACKGROUND:
Previous Ordinances 364-20 and 250-22 authorized DPU to enter into a contract with Deloitte for the implementation of the S4HANA billing system. In order to successfully migrate to the new billing system, it has been determined that there is a need to implement OnBase for the S4HANA environment. Deloitte is uniquely qualified to complete the implementation of this software as they are currently working on the implementation of the S4HANA billing system. A supplemental agreement to amend the scope of services and provide funding for the additional work would be executed in order to add this implementation to the existing contract.
During the implementation of the S4HANA billing upgrade, it has also been determined that DPU has a need to obtain cloud hosting services for the legacy ECC6 environment, FTP Servers and SMTP mail servers. These environments would be contained in the AWS cloud with managed services being provided by Deloitte. Deloitte is uniquely qualified to host these environments as they are the existing Application Maintenance Services provider under an existing contract with the City. A new contract or a supplemental agreement to amend the scope of services and provide funding for the additional work would be executed in order to add the hosting services to the existing contract will be executed. By contracting with Deloitte, the city will have one provider for managed services for the DPU S4HANA billing environment.
This Ordinance authorizes DPU to amend their existing contract or establish a new contract with Deloitte for the implementation of the OnBase solution and establish hosting services as needed for the S4HANA billing project.
Summary
NOW THEREFORE Be it ordained by the Council of the City of Toledo:
SECTION 1. That the mayor is authorized to enter into new or amended agreements with Deloitte for implementation, hosting and managed services for the DPU SAP systems, OnBase system, FTP and SMTP environments for an initial term of three years with the option to renew for two one-year terms, upon such terms and conditions as acceptable to the Director of Law and the Director of Public Utilities.
SECTION 2. That an amount not to exceed $190,000 for first year costs is authorized for expenditure from the Utility Administrative Services Fund, Account Codes 6078-31000-4000524STDSTD and 6078-31000-4000527STDSTD for the purpose identified in Section 1.
SECTION 3. That, subject to appropriation, an amount not to exceed $80,000 annually is authorized for expenditure for future years from the Utility Administrative Services Fund, Account Codes 6078-31000-4000524STDSTD and 6078-31000-4000527STDSTD for the purpose identified in Section 1.
SECTION 4. That this Council finds and determines it is in the best interest of the city to waive the competitive procurement requirements of Toledo Municipal Code Chapter 187 for the reason that Deloitte is the city’s existing AMS provider and in order to ensure uninterrupted implementation of the OnBase system for the S4HANA system, hosting services and SAP systems administration and hosting services.
SECTION 5. That the Finance Director is authorized to issue their warrant or warrants against the above Account Codes in payment of the above-authorized obligation amounts not to exceed those authorized above upon presentation of proper voucher or vouchers.
SECTION 6. That this Ordinance is declared to be an emergency measure and shall be in full force and affect from and after its passage. The reason for the emergency lies in the fact that this Ordinance is necessary for the immediate preservation of public peace, health, safety, and property and for the further reason that this Ordinance must be immediately effective in order to permit the continued uninterrupted necessary services identified herein.
