Title
Authorizing the Mayor to enter into a fifteen (15) year Lease, with three (3) optional five (5) year renewal period as well as other provisions, between the City of Toledo (“City”), Toledo Celtics, Inc, and Toledo Football Academy, Inc. (collectively “Club”) located at Schneider Park, Toledo, Ohio 43614; waiver of competitive bidding and 30-day notice requirement; and declaring an emergency.

SUMMARY & BACKGROUND:
This legislation authorizes the Mayor to enter into a new lease for an initial term of fifteen (15) years with three (3) renewals for five (5) years each at an annual rent of $4,000 until the year 2031 when the annual rent increases to $8,000. Operating expenses, including taxes, utilities, and insurance are to be paid by City, except that ground maintenance, including mowing, trimming, spraying, fertilizing, aerating, rolling, irrigation, debris clean up, trash collection and restroom cleaning and restocking supplies expense. Club can only use Premises for soccer or other recreational purposes consistent with park use. No assignments or sublease rentals will be permitted without the prior written consent of City.
Summary
NOW, THEREFORE, Be it ordained by the Council of the City of Toledo:
SECTION 1. That the Mayor and the Department of Public Service are authorized and directed to execute the Lease Agreement between the City of Toledo and Toledo Celtics, Inc, and Toledo Football Academy, Inc. for a term of fifteen (15) years and an additional three (3) renewal term of five (5) years.
SECTION 2. That the Lease shall contain an annual rent of $4,000 excluding operating expenses for any insurance premiums, maintenance expenses, and utilities as required by the Lease.
SECTION 3. That the Lease “Premises” are more specifically described on Exhibit “A”, incorporated by reference.
SECTION 4. That the Lease shall contain other terms and conditions deemed necessary and proper by the Mayor, the Department of Law and the Department of Public Services.
SECTION 5. That the Lease Premises is not needed by the City for any municipal purpose and is in the best interest of the City.
SECTION 6. That it is hereby found and determined that all formal actions of Council concerning and relating to the passage of this Ordinance were adopted in an open meeting of Council and that all deliberations of Council and any of its committees that result in such formal action were in meetings open to the public in compliance with all legal requirements, including Section 121.22, Ohio Revised Code.
SECTION 7. That this Ordinance is hereby declared to be an emergency measure and shall take effect and be in force immediately from and after its passage. The reason for the emergency lies in the fact that same is necessary for the immediate preservation of the public peace, health, safety and property, and for the further reason that this Ordinance must be immediately effective to facilitate the continuous maintenance and use this property by the Club for important park, soccer and community activities.
